Hub Group announces board overhaul amid filing delays

Hub Group has made significant changes to its board of directors following action by controlling shareholders, resulting in the appointment of four new directors and the removal of three existing board members.

The company said shareholders representing a majority of voting power approved the appointments of Gregory D. Bunch, Thomas P. Fitzgerald, Thaddeus J. Malik and Thomas M. White. Three directors were removed, while three others resigned following the changes.

The board now consists of seven directors, led by David P. Yeager as chairman and chief executive officer and Phillip D. Yeager as president and vice chairman.

According to the company, the board changes will not affect day-to-day operations, management or corporate strategy.

The announcement comes as Hub Group works to complete the restatement of its financial statements and file delayed regulatory reports. The company said it expects to complete the process during the fourth quarter of 2026.

In September, Hub Group received a Nasdaq delisting notice related to delayed financial filings. The company has appealed the determination and received a stay pending a hearing scheduled for Oct. 27.
